Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Penn Parsons LLC ("Company," "we," "us," or "our") governing your access to and use of CompliantVendor (the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization as well as you individually.
1. The Service
CompliantVendor helps organizations ("Organizations") assess, track, and manage the security and compliance risk of their third-party vendors ("Vendors"), including through questionnaires, evidence collection, risk scoring, remediation tracking, agreements/e-signature workflows, and reporting. The Service supports CMMC Level 2 readiness and vendor risk evidence tracking. It does not, by itself, certify a vendor or guarantee CMMC compliance, and use of the Service is not a substitute for a formal third-party assessment where one is required.
2. Eligibility and Accounts
You must be able to form a binding contract to use the Service and must provide accurate registration information. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at info@compliantvendor.com if you suspect unauthorized access to your account.
3. Subscriptions, Fees, and Billing
Paid features of the Service are billed on a subscription basis through our payment processor, Stripe. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis according to the plan and billing cycle you select. Fees are non-refundable except as required by law or as we expressly state at the time of purchase. Subscriptions renew automatically until canceled. We may change our pricing prospectively with notice; changes will not apply retroactively to a billing period already paid for.
4. Acceptable Use
You agree not to: use the Service to violate any law or third party's rights; upload Controlled Unclassified Information (CUI) or Federal Contract Information (FCI), or any other data the Service is not authorized to store; attempt to gain unauthorized access to the Service or another Organization's data; interfere with or disrupt the integrity or performance of the Service; reverse engineer or attempt to extract the source code of the Service except as permitted by law; or use the Service to build a competing product. We may suspend or terminate access for violations of this section.
5. Customer Data; License; Ownership
As between you and us, your Organization retains all right, title, and interest in the data it submits to the Service, including vendor questionnaire responses, uploaded documents, and configuration data ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely as necessary to provide the Service to you and as otherwise permitted by these Terms and our Privacy Policy. We claim no ownership over Customer Data.
6. Vendor-Submitted Data
Where a Vendor User submits questionnaire answers, documents, or other information through the vendor portal at an Organization's request, that data is shared with the requesting Organization(s) as authorized within the Service. Vendor Users are responsible for the accuracy of information they submit. A Vendor User's continued use of the vendor portal is also subject to these Terms.
7. Confidentiality
Each party may have access to the other's non-public business information in connection with the Service (for example, an Organization's vendor risk data, or our non-public product or security information). Each party agrees to use the other's confidential information only as needed to perform under these Terms and to protect it with the same degree of care it uses for its own confidential information, but no less than reasonable care.
8. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by Penn Parsons LLC and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term for your internal business purposes.
9. Third-Party Services
The Service relies on third-party subprocessors, currently Stripe (payments), AWS (hosting and storage), and MailerSend (email delivery), as described in our Privacy Policy. Your use of the Service is also subject to the extent applicable to those providers' own terms governing the underlying infrastructure.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT USE OF THE SERVICE WILL RESULT IN COMPLIANCE WITH ANY LAW, REGULATION, OR FRAMEWORK (INCLUDING CMMC). YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER THE SERVICE MEETS YOUR COMPLIANCE OBLIGATIONS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENN PARSONS LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold Penn Parsons LLC harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service in violation of these Terms or applicable law, or from Customer Data or Vendor-submitted data you provide.
13. Term and Termination
These Terms remain in effect while you use the Service. You may cancel your subscription at any time through the billing settings in the Service; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access for material breach of these Terms, including non-payment, if not cured within a reasonable time after notice. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 8, 10, 11, 12, and 14) will survive.
14. Governing Law; Venue
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Georgia, and you consent to personal jurisdiction there.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. General Provisions
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
